1. Parties and acceptance
These Terms of Service ("Terms") are entered into between Vuong Tich, an individual based in Việt Nam who operates the LineProTrack service ("LineProTrack", "we", "us"), and the organisation that subscribes to the service ("Customer", "you").
Who you contract with. LineProTrack is run by its founder as an individual; a company has not been registered yet. We say so plainly so that you know exactly who you are contracting with, and it does not reduce any of your rights under these Terms, the Privacy Policy or the Data Processing Agreement. When a company is registered to operate the service, we will tell you in writing before the change, and these Terms — together with any order form and the Data Processing Agreement — will transfer to that company on the same conditions. If you do not accept the transfer, you may terminate and receive a pro-rata refund of prepaid fees for the unused period.
You accept these Terms by signing an order form, by ticking the box to accept them when you sign up, order or request a demo link, or by using the service. If you are accepting on behalf of an organisation, you confirm that you are authorised to bind that organisation. These Terms apply to organisations only; the service is not offered to consumers.
Acceptance in the application. The first time each user signs in, and whenever a new version of these Terms or of the Privacy Policy takes effect, the user is asked to read both documents and tick a box to accept them; the box is never pre-ticked and the application cannot be used until the user accepts. We keep a record of each acceptance (account, time, document versions, a shortened network address and the browser type) as evidence. Demo links. A demo can be opened only through a personal link that we send by email. When you request a link you tick a box to accept these Terms and the Privacy Policy, and opening the link means you accept them.
2. The service
LineProTrack is a production scheduling and delay-forecasting application provided as a hosted service, or as a dedicated instance (a server and database used by one customer only) where the order form says so. The service includes the Planner module (scheduling), the Viewer module (read-only monitoring) and the associated APIs and documentation.
Subscriptions are priced per production site. Each plan limits the number of active users who can create or edit data, the number of production sites and the number of production lines per site, as shown on the pricing page or confirmed on your order form; valid pending invitations also reserve a user seat. A "site" means one physical production location. A "line" means one line in the site's line list or, where no list has been declared, the site's line ceiling plus any other line name your data uses. The service does not save a change that would take a site above its line limit; data already saved is not affected. A plan cannot be changed to one whose limits are below what you currently use.
3. Free trial
We may provide a free trial of 14 days. If, during the trial, your organisation has entered purchase orders, production lines and production output on at least 7 different days, the trial is extended once by a further 16 days. Trials are provided as is, without warranty or support commitment, and we may change or end a trial at any time. When a trial ends without a subscription, the service can no longer be used, except that your organisation's administrators can still subscribe, view and download the data. Seven days after the trial ends, the organisation and its data are deleted automatically. We email your administrators before the trial ends, when it ends, and the day before deletion; deletion never happens before that last email has been sent.
One trial per business. Each business may use a free trial only once. To apply this rule, the system keeps one-way hashes of the company email domain (or, for free email providers, the full address), the tax code if provided, and of some identifiers in the data entered during a trial. No customer data is kept: when a trial account is deleted, its data is deleted with it. Only these hashes remain; they cannot be turned back into any data and are used solely to prevent abuse of the free trial (recognising a repeat trial). They are deleted automatically no later than 3 years after the trial ends. If the data of a new trial substantially matches an earlier trial account, the remaining trial period may be shortened to no more than 3 days until we have verified the business with you; your data is still saved normally. A trial account can only restore backup files exported from that same account.
4. Accounts and security
You are responsible for the accuracy of account details, for keeping credentials confidential, and for all activity that occurs under your accounts. You must notify us promptly at lineprotrack@gmail.com if you suspect unauthorised access. You are responsible for ensuring that people who leave your organisation no longer have access.
5. Acceptable use
You must not, and must not permit any third party to:
- copy, modify, decompile, reverse engineer, or attempt to derive the source code, algorithms or underlying parameters of the service, except to the extent this restriction is prohibited by applicable law;
- resell, sublicense, or provide the service to third parties as a service bureau, other than granting Viewer access to your own customers and suppliers in connection with your own production;
- use the service to store or transmit unlawful content, malware, or material that infringes third-party rights;
- circumvent or attempt to circumvent usage limits, licence checks, or access controls;
- perform penetration testing, load testing or vulnerability scanning against the hosted service without our prior written consent;
- use the service, including a trial or a demo link, to build, benchmark or support a product or service that competes with LineProTrack;
- analyse, reverse engineer or copy how the service produces its results (including its recommendations, schedules and forecasts), its user interface or its report templates. The parties agree that this clause is an agreement to the contrary within the meaning of Article 125(3)(e) of the Law on Intellectual Property of Việt Nam, so that exception does not apply to the service;
- use scripts, bots, browser automation or AI agents to extract, scrape or collect at scale the content, results or reports of the service, or to send it large numbers of systematically varied requests;
- open more than one free trial for the same business, including through different people, email addresses or organisations.
Usage limits. Each plan includes daily limits on recalculations, previews and report exports. When a limit is reached, that function becomes available again the next day or after an upgrade; saving and viewing your data are never blocked. To protect the service, the system records usage and may slow down calculation requests when it detects unusual use. Reports exported from a trial show a “Trial version” line, and every exported file carries a hidden identifier of your organisation and the export date.
Breach. A breach of this clause 5 is a material breach. We may suspend access immediately and terminate the account concerned without the cure period in clause 8, in addition to any other remedy available under law.
6. Customer data
You retain all right, title and interest in the data you or your users upload or create in the service ("Customer Data"). You grant us a non-exclusive, worldwide licence to host, process, transmit and display Customer Data solely to provide and support the service, and to comply with law.
We do not use Customer Data to train machine learning models, we do not allow our AI provider to use it to train models, and we do not sell or share it with third parties except the sub-processors listed in our Data Processing Agreement.
Where Customer Data contains personal data, the Data Processing Agreement applies and forms part of these Terms.
Export and deletion. You may export Customer Data at any time, in spreadsheet format or as a backup file. If your subscription is not renewed (after the grace period in clause 9) or is terminated, your organisation's administrators can still view and download the data for 30 days; the organisation and its data are then deleted automatically. We email your administrators 7 days before deletion and again when deletion is complete. You may also ask us to delete your organisation earlier: an administrator can request it in the application (after re-entering the password, and the two-factor code if it is enabled), or the request can be sent by email from the address of an active administrator registered in the service. We confirm the request by email and carry it out 24 hours later; during those 24 hours it can be cancelled. Requests sent from any other address are not accepted. How backup copies are handled is set out in clause 8 of the Data Processing Agreement.
The AI assistant sends tenant production data to an AI provider only when a user turns on “Data analysis” mode and gives consent in that sign-in session. Even then, the LineProTrack server sends only a summary of the calculated results of the screen being viewed (for example item codes, quantities, dates, milestones and recommendations) — never the whole dataset, and never user names, email addresses or customer names. When the mode is off (the default), the assistant sends only the text typed by the user after sensitive details have been redacted, together with relevant excerpts from the public handbook. LineProTrack keeps the redacted questions, encrypted with your organisation's own key, for 30 days to improve the handbook; in data-analysis mode the content of questions and answers is not stored on the server (only counts, tokens and timestamps), except for analyses a user chooses to save. Our AI provider (Google) may keep requests for up to 55 days solely to detect abuse and, under its terms for paid services, does not use them to improve its products. LineProTrack does not allow AI providers to use your data to train models.
Defect photos. We store only the photos your users choose to upload to quality inspection records, on our server in Singapore, and use them solely to display them to your authorised users and to include them in the reports you generate. We do not send defect photos to any third party or to any AI provider, and we do not use them to train AI models. Photo storage is subject to a per-organisation limit shown in the app.
7. Fees, payment and tax
- Fees are those stated on the order form or on our pricing page at the time of purchase, and are charged per site per month, billed monthly or annually in advance; AI assistant top-up packs are charged per pack and paid once in advance (see the clause on top-up packs below).
- Fees are paid in advance, by bank transfer or through the online payment link or payment gateway shown on the order page. We send a receipt by email for every payment.
- The prices shown on our pricing and order pages are the amounts you pay; no VAT is added on top. Any taxes that apply to you under your own law (for example withholding tax) are your responsibility. A Vietnamese VAT invoice (hoá đơn GTGT) can only be issued once LineProTrack is incorporated and registered for VAT — if your accounting department requires one, contact us before you order.
- If a renewal is not paid by its due date, a grace period of 7 days applies, during which the service keeps working normally. After that the account is suspended as described in clause 9 and, if payment is still not received, the organisation and its data are deleted 30 days later (clause 6). No late-payment interest is charged.
- Launch offer. While the pricing page shows the launch offer, the first 10 production sites to subscribe get 30% off the listed monthly or annual fee and keep that discounted fee for 12 months from the start of their subscription. The offer applies when we confirm your order; the pricing and order pages show whether places remain. After those 12 months, the fee on the pricing page at that time applies from the next renewal.
- Fees are non-refundable except where required by law or expressly stated in these Terms.
- AI assistant top-up packs. In addition to the AI assistant allowance included in your plan, you may buy prepaid top-up packs at the current price list. (a) Top-up questions are used only after the plan’s daily or monthly AI assistant allowance has run out. (b) Top-up questions are valid for 12 months from the date they are added to your organisation; questions left unused at expiry are not carried over or exchanged. (c) Top-up packs are prepaid, non-refundable (except where required by law) and not transferable to another organisation. (d) The number of questions each request uses is shown in the AI assistant panel and may change when new features are added; questions already purchased are never reduced. (e) To keep usage fair within your organisation, each user may be limited to a number of top-up questions per day (60 by default), adjustable at your request. (f) When the AI provider is temporarily unavailable or the system reaches its spending limit, the assistant may temporarily answer in handbook look-up mode; no top-up questions are deducted for those answers.
8. Term, renewal and termination
The subscription runs for the period you paid for (monthly or annual, or as stated on the order form) and renews for the same period when you pay the renewal. You may cancel at any time by email from an administrator; cancellation takes effect at the end of the period already paid, and the service keeps working until then. We may decide not to offer a renewal by telling you at least 30 days before the end of the current period.
Either party may terminate for material breach if the breach is not cured within 30 days of written notice. On termination you must stop using the service, and we will delete your data in accordance with clause 6.
9. Suspension
We may suspend access where a payment is still overdue after the grace period, where use threatens the security, integrity or availability of the service, or where required by law. Except in an emergency we will give you notice and a reasonable opportunity to resolve the issue first.
Late payment. The grace period after a renewal date is 7 days. If you tell us by email before it ends that payment will be late, we may extend it, up to 14 days in total. When the grace period ends, the account is suspended: your administrators can still view and download the data, but data cannot be entered or changed and the AI assistant is not available. Paying the renewal restores full access. If payment is not received within 30 days of suspension, the organisation and its data are deleted (clause 6).
10. Availability and support
We aim to keep the hosted service available at all times but do not commit to a specific uptime percentage unless an SLA is included in your order form (available on the Enterprise plan). Planned maintenance is announced in advance where practicable.
Support response targets by plan are published on our pricing page. Support covers the operation of the service; it does not include production planning consultancy unless separately agreed.
The AI assistant is provided on a best-effort basis and is outside any uptime commitment. Usage limits apply. When the monthly AI budget is reached, the assistant may switch to lookup mode and show relevant handbook excerpts without AI rephrasing.
11. Intellectual property
We retain all right, title and interest in the service, including the scheduling and forecasting engine, its parameters, the software, documentation and any improvements. Nothing in these Terms transfers ownership of our intellectual property to you.
If you send us feedback or suggestions, we may use them without restriction and without obligation to you.
12. Confidentiality
Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms, protect it with at least the same care it uses for its own confidential information, and not disclose it except to personnel and advisers who need it and are bound by confidentiality obligations. This clause does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or required to be disclosed by law.
13. Warranties and disclaimers
We warrant that we will provide the service with reasonable skill and care, and that the service will perform materially as described in our documentation.
The service produces forecasts and recommendations, not guarantees. Schedules, forecasts and recommendations support your decisions; decisions about production, delivery dates and the commitments you make to your buyers are yours. Production outcomes depend on factors outside the software — material supply, machine breakdowns, labour availability, quality issues and human decisions. You remain responsible for verifying results before acting on them.
Except as expressly stated, the service is provided without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by law.
14. Limitation of liability
Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.
Subject to that, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, production, goodwill or anticipated savings, however arising. For the Customer, indirect loss includes in particular late-delivery penalties or claims from your buyers, air-freight or other expedited shipping costs, chargebacks or deductions made by your buyers, and lost or cancelled orders.
Each party's total aggregate liability arising out of or in connection with these Terms is limited to the fees paid or payable by you in the twelve months preceding the event giving rise to the claim.
Free use. During a free trial or when using a demo link, the service is provided free of charge and we are not liable for any loss arising from it, except where the law does not allow this exclusion.
Exceptions to the cap. The limit on total liability in this clause does not apply to a breach of clause 5, to infringement of the other party's intellectual property rights, to your obligation to pay fees, or to the indemnities in clause 15.
15. Indemnity
We will defend you against third-party claims that the service infringes their intellectual property rights, and pay damages finally awarded, provided you notify us promptly and let us control the defence. You will defend us on the same basis against claims arising from Customer Data or from use of the service in breach of clause 5.
16. Changes
We may update the service and these Terms. For material changes to these Terms we will email your organisation's administrators at least 30 days before the change takes effect and show a notice in the application. Every previous version stays available on our previous versions page. Changes that do not alter the meaning (for example corrections of wording) may be made without notice. If a material change is unacceptable to you, you may terminate before it takes effect, download your data, and receive a pro-rata refund of prepaid fees for the unused period.
When a new version of these Terms takes effect, users are asked to accept it in the application before continuing to use the service (see clause 1). If you do not accept a new version, stop using the service and download your data before it takes effect.
17. Governing law and disputes
These Terms are governed by the laws of Việt Nam, and the competent courts of Việt Nam have exclusive jurisdiction, without prejudice to either party's right to seek injunctive relief where necessary. The parties will attempt to resolve any dispute in good faith before starting proceedings.
18. General
- Assignment. Neither party may assign these Terms without the other's consent, except to a successor of substantially all of its business.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Entire agreement. These Terms, the order form and the documents referenced in them form the entire agreement and supersede prior discussions. Where they conflict, the order form prevails, then the Data Processing Agreement, then these Terms.
- Severability. If any provision is unenforceable, the remainder stays in effect.
- Notices. Notices to us go to lineprotrack@gmail.com; notices to you go to the email addresses of your organisation's administrators registered in the service.
